Pricing Terms and Conditions

These Pricing Terms and Conditions govern the financial and intellectual property relationship between Create Inc. ("the Agency") and our clients ("the Client"). Our goal is to ensure a transparent, predictable, and fair working environment for both parties.

1. Professional Investment & Quotes

1.1. Fixed-Price Proposals: Following a Brand Discovery session or a formal scoping meeting, Create Inc. will provide a fixed-price proposal. This quote is valid for 30 days from the date of issue. 
1.2. VAT: All prices quoted on our website and in bespoke proposals are exclusive of VAT, which will be charged at the prevailing rate. 
1.3. Project Scoping: Quotes are based on the specific deliverables outlined in the "Project Scope." Any significant changes to the brief or additional requests made during the project will be treated as a "Change Request" and quoted separately.

2. Payment Structures

2.1. Brand Discovery & Targeted Projects: These services require a 50% commencement fee to secure studio time, with the remaining 50% invoiced upon delivery of the final assets or report. 
2.2. Brand Transformation Projects: To support budget allocation for larger projects, we offer phased billing. This typically consists of

  • 25% Commencement Fee (Proforma)
  • 25% Milestone Payment (Date Driven/Mid-point/Approval) 28 days
  • 25% Milestone Payment (Date Driven/Mid-point/Design approval) 28 days
  • 25% Completion Payment (Prior to launch/Handover) 28 days 

2.3. Website Maintenance Subscriptions: These are billed monthly in advance and can be paid either on 28 day payment terms, via Direct Debit or standing order. A minimum term of 6 months applies to all new subscriptions to ensure technical stability and compliance setup.

3. The Pitch Fee Policy

3.1. Bespoke Pitching: We charge a pitch fee (starting from £900 + VAT) to cover the strategic research and creative development required for a high-level proposal.
3.2. Project Credit: If the Client commissions Create Inc. to proceed with the project within 60 days of the pitch presentation, the full pitch fee will be credited against the final project invoice. 3.3. Non-Commissioned Pitches: If the Client chooses not to proceed, the pitch fee is non-refundable, and all IP remains the property of Create Inc. (see Section 4).

4. Intellectual Property (IP) & Ownership

4.1. Transfer of Rights: Full copyright and intellectual property rights for the final, chosen creative deliverables are transferred to the Client only upon receipt of payment in full for the project. Only the chosen concepts are owned by the client, those created throughout the project but not selected by the Client remain intellectual property of Create Inc.
4.2. Pitch IP: All concepts, strategies, and designs presented during the pitch process remain the exclusive property of Create Inc. unless specifically purchased or commissioned.
4.3. Third-Party Assets: Any third-party costs (e.g., stock photography, font licenses, or specialised plugins) are the responsibility of the Client. Create Inc. will manage these licenses on the Client’s behalf where agreed, but ownership remains subject to the third party's terms. 
4.4. Self-Promotion: Create Inc. reserves the right to feature the completed work and the Client’s logo in our portfolio, case studies, and marketing materials, unless a Non-Disclosure Agreement (NDA) specifies otherwise.

5. Website Compliance & Technical Support

5.1. Regulatory Compliance (AIM 26): For listed businesses, Create Inc. provides the technical framework to support AIM 26 compliance. However, the Client is ultimately responsible for the legal accuracy and timely provision of the regulatory content to be published. 
5.2. Termination of Subscription: Following the initial 6-month term, subscriptions may be cancelled with 30 days’ written notice.
5.3. Off-boarding: Should the Client wish to move their website to a different provider, Create Inc. will provide a standard export of site data. Any bespoke developer time required to assist in the migration will be billed at our standard day rate.

6. Payment Terms & Late Fees

6.1. Standard Terms: All invoices are subject to 28-day payment terms.
6.2. Project Suspension: We reserve the right to pause all creative and technical work if an invoice remains unpaid 7 days beyond the due date.
6.3. Budget Spreading: For clients utilising monthly payment plans for Transformation Projects, failure to meet a monthly payment may result in the immediate requirement for the remaining project balance to be paid in full.

7. Limitation of Liability

7.1. Create Inc. maintains professional indemnity insurance. Our total liability for any claim arising out of our services is limited to the total amount of fees paid by the Client for the specific project in question.
