QCA Member Offers: Terms & Conditions

These terms apply to the QCA member offers made by Create Incorporated Limited ("Create Inc.", "we", "us"). They apply alongside our Pricing Terms and Conditions. Where the two conflict, these offer terms take precedence for the relevant offer.
General terms (all offers)
- The offers are available only to current members of the Quoted Companies Alliance. We may ask for proof of membership.
- All prices are in pounds sterling and exclude VAT, which is charged at the prevailing rate.
- All services are contracted and invoiced by Create Incorporated Limited.
- Invoices are payable within 14 days unless stated otherwise. We reserve the right to pause work on overdue accounts and to charge statutory interest on late payments.
- Travel and accommodation outside a 50-mile radius of Nottingham are charged at cost, and agreed in advance.
- Intellectual property in all work created by Create Inc. transfers to the client only on receipt of payment in full. Create Inc. retains ownership of its working methods, templates, tools and unused concepts.
- We may show completed work in our portfolio, on social media, on our website and credentials unless the client asks us not to in writing.
- Both parties will keep each other's confidential information confidential. Where the client is a listed company, it's responsible for identifying any inside information it shares with us and for adding Create Inc. personnel to its insider list where appropriate. We'll comply with our obligations under the UK Market Abuse Regulation.
- Our advice relates to brand, positioning and communications. It does not constitute legal, financial, investment or regulatory advice. The client remains responsible for its compliance with AIM, AQSE or other exchange rules.
- Our total liability under any offer is limited to the fees paid for that offer. We're not liable for any indirect or consequential loss, including loss of profit, revenue or investment.
- We may amend or withdraw these offers at any time. This won't affect bookings already confirmed.
- These terms are governed by the laws of England and Wales.
1. Brand Workshop
- The workshop fee of £2,700 plus VAT is payable in full when booking. The date is confirmed once payment is received.
- The workshop is a half-day session of up to four hours for up to ten attendees. It takes place at the client's premises or at an off-site location booked and paid for by the client.
- The client will circulate the employee survey and provide any requested background information at least ten working days before the workshop.
- The client can reschedule once, free of charge, with at least five working days' notice. Later changes or cancellations are chargeable in full, with no refund.
- The written summary will be delivered within ten working days of the workshop.
- Workshop credit:
- The full fee will be credited against any Create Inc. project or retainer with a value of at least £5,000 plus VAT.
- The project must be confirmed in writing within three months of the workshop date.
- The credit is deducted from the final invoice or, for retainers, spread across the first three invoices.
- It can be used once only, is non-transferable, has no cash value and can't be combined with any other offer.
- It can't be used against the Investor Ready Package.
2. Investor Ready Package
- The package fee of £9,000 plus VAT is payable as 50% on booking and 50% on completion, before the website goes live.
- The two-week delivery period begins once we've received the deposit, a completed brief and all required content. This includes copy, images, team details, proof points and access to domain and hosting. We'll confirm the start date in writing.
- Delays in the client providing content, feedback or approvals will extend the delivery period. Where a delay exceeds ten working days, we may reschedule the project to our next available slot.
- The package includes two logo concept routes and two rounds of consolidated revisions across the visual identity and website. Additional revisions or changes in scope are charged at our standard rates.
- The client provides the website copy. Copywriting, photography and additional pages to the website are available at an extra cost.
- The website is a single-page site. It is not designed to meet AIM Rule 26 or other exchange disclosure requirements. Compliant investor websites are available as a separate project.
- Domain registration, hosting, email and third-party licences such as fonts and stock imagery aren't included unless stated. Hosting and maintenance are available from £100 per month.
- The client is responsible for checking that its chosen name and logo don't infringe third-party rights. This includes trademark searches where appropriate.
- Cancellation:
- If the client cancels before work starts, we'll retain the deposit.
- If the client cancels after work starts, the full fee is payable.
3. Board Brand Adviser
- Fees and billing:
- Fees are £1,000 plus VAT per day.
- They're invoiced monthly in advance on the first of each month, based on the number of days agreed for that month.
- Invoices are payable within seven days.
- Start date:
- Engagements start on the first day of a calendar month.
- Where an agreement is signed mid-month, the engagement begins on the first day of the following month unless otherwise agreed.
- Term and notice:
- The minimum term is six months.
- After that, either party can end the engagement with two months' written notice, which must end on the last day of a calendar month.
- Fees remain payable for the minimum term and any notice period.
- Scheduling:
- Each month's on-site visit date is agreed and confirmed when that month's invoice is issued.
- An on-site day is up to eight hours, including travel.
- Additional days:
- Additional days, up to four per month in total, are subject to Alex Crabtree's availability.
- They must be booked with at least ten working days' notice and are invoiced in advance.
- Access between visits: Ad-hoc calls, email and sense-checking are included up to two hours per month for each contracted day. Time beyond this counts towards an additional day or is charged at £200 per hour. You will be advised ahead of time, and this will need to be agreed to before any work is undertaken.
- Cancellations and rescheduling:
- A visit cancelled or moved by the client with at least five working days' notice will be rescheduled within the same month where possible.
- A visit cancelled or moved with less notice is chargeable, and doesn't have to be rescheduled.
- Unused days don't roll over to the following month.
- Substitution: If Alex Crabtree is unavailable because of illness or circumstances outside our control, we'll reschedule the visit.
- Role:
- Alex Crabtree acts as an independent adviser to the business. He is not appointed as a director, officer or employee of the client and has no authority to make decisions or commitments on its behalf.
- The client remains responsible for all decisions it makes.
- Scope: The service covers strategic advice only. Any design, production, campaigns or other delivery work recommended by Alex Crabtree will be quoted and contracted separately, and the client is under no obligation to commission it.
- Non-solicitation: During the engagement and for 12 months afterwards, the client agrees not to directly engage Alex Crabtree or other Create Inc. staff introduced through the engagement except via Create Inc.
